2. Payment Terms, Billing, & Chargeback Protections
All service engagements require clear up-front deposits or adherence to predefined automated billing structures processed securely via authorized third-party payment infrastructure partners. The client agrees that initiating unverified payment disputes or forced chargebacks via issuing banks without utilizing our direct system resolution terminal constitutes a material breach of contract. vexqrixflow reserves the complete technical right to immediately suspend active web layouts, routing keys, and API synchronization configurations until all outstanding invoice ledger lines are verified and settled.
3. Intellectual Property Allocation & Code Release
Full deployment transfer of custom software assets, design parameters, and operational user interface elements directly to the client triggers exclusively upon full, unextended clearance of all pending payment lines. vexqrixflow retains absolute ownership and exploitation rights over its proprietary pre-existing component repositories, internal scripts, foundational data pipeline templates, and core framework patterns optimized prior to or independently of the client execution timeline.
4. Governing Law, Legal Jurisdiction & Merchant Details
These Terms of Service and all platform commercial transactions are governed strictly under the legal frameworks of **Spain**. Any legal claims or execution arbitrations belong exclusively to the jurisdictional courts of **Madrid, Spain**.
